Wing Snob reserves the right to investigate and take appropriate legal action against any person who, in its sole discretion, violates this provision, including reporting such conduct to law enforcement authorities and pursuing all available civil remedies.

5. Ordering, Payment, and Pricing

5.1 Order Placement

When you place an order through the Site, you are making an offer to purchase the selected items at the prices and quantities indicated. Wing Snob reserves the right to accept or decline any order at its sole discretion. An order confirmation sent to your registered email address constitutes our acceptance of your offer and forms a binding contract between you and Wing Snob for the purchase of those items.

Prices for all menu items are listed in United States Dollars (USD) and are subject to applicable federal, state, and local sales taxes, which will be calculated and displayed at checkout. Wing Snob reserves the right to change prices at any time without prior notice.

5.2 Payment Methods

Wing Snob accepts major forms of payment as indicated on the Site at the time of checkout, which may include credit cards, debit cards, and other digital payment methods. Due to the perishable nature of food products, all sales are generally final once an order has been confirmed and preparation has commenced. Delivery availability, fees, and estimated times vary based on your location and current order volume. Delivery estimates provided at checkout are approximate and not guaranteed. Wing Snob is not responsible for delays caused by factors outside our control, including traffic, weather, or third-party delivery partner issues. Risk of loss and title for food items passes to you upon delivery or pickup.

All content on the Site, including but not limited to text, graphics, logos, images, photographs, video clips, audio files, digital downloads, data compilations, menu designs, and software (collectively, "Content"), is the property of Wing Snob or its content suppliers and is protected by applicable United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.) and trademark laws.

The Wing Snob name, logo, taglines, and all related marks, trade dress, and branding elements are trademarks or service marks of Wing Snob. You may not use any of these marks without our prior written permission. Nothing in these Terms grants you any right or license to use any trademark, service mark, or trade name of Wing Snob.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your personal, non-commercial purposes in connection with ordering food and using our services. This license does not include the right to:

• Reproduce, modify, distribute, publicly display, or create derivative works from any Content;
• Use the Content for any commercial purpose or for any public display;

Wing Snob reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with Wing Snob in asserting any available defenses. You agree not to settle any such matter without the prior written consent of Wing Snob.

Wing Snob takes food safety seriously and complies with all applicable federal, state, and local food safety regulations, including guidelines established by the U.S. Food and Drug Administration (FDA) and applicable state health departments. However, Wing Snob cannot guarantee that any menu item is entirely free from allergens or cross-contamination.

Common allergens, including but not limited to peanuts, tree nuts, dairy, eggs, wheat/gluten, soy, fish, and shellfish, may be present in our kitchen environment. Subject to the dispute resolution provisions set forth in Section 15 below, you agree that any legal action or proceeding arising out of or related to these Terms or your use of the Site shall be instituted exclusively in the federal or state courts of competent jurisdiction located in the United States, and you hereby irrevocably consent to personal jurisdiction and venue in such courts. You waive any objection to such jurisdiction and venue, including any objection based on inconvenient forum.

Wing Snob operates in compliance with all applicable federal and state consumer protection laws, including the Federal Trade Commission Act, and all applicable food service regulations enforced by federal, state, and local authorities.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Wing Snob in writing at [email protected] and provide a detailed description of the dispute and the relief sought. Wing Snob will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute is not resolved within that period, either party may proceed to formal dispute resolution as described below.

15.2 Binding Arbitration

Except as otherwise provided herein, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the services offered by Wing Snob that cannot be resolved informally shall be resolved through final, binding arbitration administered by a recognized arbitration organization, such as the American Arbitration Association (AAA), under its applicable Commercial Arbitration Rules. The arbitration shall take place in the United States, at a location mutually agreed upon by the parties or as determined by the arbitrator.

The arbitrator shall have authority to award any relief that would be available in a court of law, including injunctive relief and attorneys' fees where applicable. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WING SNOB EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You agree that you may not bring any claim as a class member in a class action, collective action, or representative proceeding, and the arbitrator shall not have authority to consolidate more than one person's claims or preside over any class or representative proceeding.

15.4 Exceptions

Notwithstanding the foregoing arbitration agreement, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information, without waiving any rights under the arbitration agreement.

16. Term and Termination

These Terms are effective from the date you first access or use the Site and shall remain in full force and effect for as long as you continue to use the Site or maintain an account with Wing Snob, unless earlier terminated in accordance with this Section.

Wing Snob may, in its sole and absolute discretion, terminate or suspend your access to the Site, close your account, or remove any content submitted by you, at any time and for any reason, with or without notice and without liability to you. Reasons for termination may include, without limitation, breach of these Terms, fraudulent activity, conduct harmful to other users, legal requirements, or business decisions made by Wing Snob.

You may terminate your account at any time by contacting us at [email protected] and requesting account closure. Termination of your account does not affect any orders placed prior to termination, and you remain liable for all charges incurred before the effective date of termination.

Upon termination for any reason, the following provisions of these Terms shall survive and remain in full force: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and all other provisions that by their nature should survive termination.

Wing Snob reserves the right, in its sole discretion, to modify, amend, or update these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and, where required by applicable law, notify you via email or prominent notice on the Site.

Material changes to these Terms will be effective thirty (30) days after the revised Terms are posted, unless a shorter notice period is required by law. Non-material changes will be effective immediately upon posting.

18. Severability

If any provision of these Terms is found by a court of competent jurisdiction or an arbitrator to be invalid, illegal, void, or unenforceable under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or, if such modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any such provision shall not affect the validity or enforceability of any other provision of these Terms, and the remaining provisions shall continue in full force and effect as if such invalid or unenforceable provision had never been part of these Terms.

The parties agree to negotiate in good faith a replacement provision that is lawful, valid, and enforceable and that achieves, to the greatest extent possible, the economic, business, and legal effect of the severed provision.

19. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other policies incorporated by reference herein, constitute the entire agreement between you and Wing Snob with respect to the subject matter hereof, and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Site and its services.

Wing Snob's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver by Wing Snob of any breach of any provision of these Terms shall not be construed as a continuing waiver of that provision or as a waiver of any other provision hereof. No waiver shall be effective unless in writing and signed by an authorized representative of Wing Snob.

20. Force Majeure

Wing Snob shall not be liable for any delay or failure to perform any obligation under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic events, government orders or restrictions, labor disputes, utility disruptions, supply chain failures, cyberattacks, or any other event of force majeure. In the event of such circumstances, Wing Snob's obligations shall be suspended for the duration of the force majeure event.

21. Electronic Communications

By using the Site or providing your email address to Wing Snob, you consent to receive electronic communications from Wing Snob, including order confirmations, receipts, updates, promotional materials, and legal notices. You agree that all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.
